Terms and Conditions for Institutes

Pedagog’s mission is to redefine education by providing affordable and accessible one stop global marketplace for all education-based needs through the use of blockchain technology. Thus, we enable anyone anywhere to create and share educational content (institutions and instructors) and to access that educational content to learn (students). We consider our marketplace model the best way to offer valuable educational content to our users. Hence, we need rules to keep our platform and services safe for you, us, and our users.

If you are an institution, you will have your own branded institution page on Pedagog platform. You will be able to publish your courses and course details, share your institution details and, you will be able to use our LMS and all its features at no additional cost, you will be able to assign your teachers for particular courses and their grading, share announcements and also communicate with the students who have enrolled in your courses, above all you will be able to reach our users and learners globally. So, it is expected of you, as an institution, to abide by the law, respect the rights of others and, Pedagog’s terms and conditions. The following terms apply to the Institutions with an institution account on Pedagog, for all your activities and related services on our website.

1.You cannot post any course, question, answer, review or other content that violates applicable local or national or even international laws or regulations. You are solely responsible for any courses, content, and actions you post or take via the platform and services and their consequences.

2. When you interact directly with a student or an instructor, you must be careful about the types of personal information that you share. You should not share your personal information for your safety.

3.We do not hire or employ instructors nor are we responsible or liable for any interactions involved between institutions, their instructors and students. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of instructors or students.

4.When you use our Services, you will find links to other websites that we don’t own or control. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms and conditions and privacy policies.

5.Pedagog may use your Institution’s name and logo(s) to list institutions as a service user and create mutually acceptable case studies highlighting the relationship of the Parties. Similarly, Institutions may use Pedagog’s name and logo(s), services for their promotional activities.

6.You are restricted to use/post/publish any inappropriate, infringing, offensive, racist, hateful, sexist, pornographic, harassing, defamatory or libellous content through/on our platform.

7.You should not share your login access to our services among multiple individuals for safety of your content.

License to Pedagog

As an institution on Pedagog, you grant Pedagog the rights to sell and, market your published/Live content/courses on Pedgog. You also grant Pedagog, the rights to modify the parts of content, add captions or otherwise modify the landing pages of the courses to ensure accessibility and marketability for mutual benefits. You also authorize Pedagog to sublicense these rights to your Submitted Content to third parties, including to students directly and through third parties such as educational consultants, resellers, distributors, affiliate sites, deal sites, and paid advertising on third-party platforms. We may record and use all or any part of your Submitted Content for quality control and for delivering, marketing, promoting, demonstrating, or operating the Services. You grant Pedagog permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the Services, your Submitted Content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law.

Pedagog’s rights to your content:

We at Pedagog respect your content and your rights to your content and privacy. Pedagog acts as a WHITE LABEL platform for institutions, using Blockchain technology that enables educational institutions worldwide to create and share educational content/courses/degree programmes. We don’t review or edit the content of various institutions for legal issues, and we aren’t in a position to determine the legality of their content as well. However, Pedagog respects the intellectual property rights of others and expects institutions/their instructors on Pedagog to do the same. Infringing activity is not tolerated on or through our platform. You retain ownership of content/courses you publish as an instructor or institution on our platform. Pedagog is allowed to share your content details to anyone for marketing purposes through any media, including promoting it via advertising on other websites but you do not lose any ownership rights you may have over your content. When you post content (other than courses) comments, questions, reviews, and when you submit to us ideas and suggestions for new features or improvements, you authorize Pedagog to use and share this content with anyone, distribute it and promote it on any platform and in any media, and to make modifications or edits to it as we see fit.

Confidential Information:

Obligations: Each Party will protect the other Party’s Confidential Information with the same standard of care it uses to protect its own Confidential Information; and not disclose the Confidential Information, except to employees, and agents who need to know it and who have agreed in writing to keep it confidential and who are trained and reliable. Each Party (and any affiliates, employees, and agents to whom it has disclosed Confidential Information) may use Confidential Information only to exercise rights and fulfil obligations under this Agreement, while using reasonable care to protect it. Each Party is responsible for any actions of its affiliates, employees, and agents in violation of this section. “Confidential Information” means information disclosed by a Party to the other Party under this Agreement that is marked as confidential or would normally be considered confidential under the circumstances. Exceptions: Confidential Information does not include information that: (i) the recipient of the Confidential Information already knew; (ii) becomes public through no fault of the recipient; (iii) was independently developed by the recipient; or (iv) was rightfully given to the recipient by another Party.

Discontinuation of Services:

In case of Institutions seeking to discontinue the use of Pedagog services and delete their profile on Pedagog, they have to ensure mutual consent. In order to safeguard our users/learners from any kind of loss, the account deletion request shall be considered after all the enrolled learners (from their institution) have completed their courses and course duration, along with assignments checking/grading (if any) and award of certificates/degrees. Pedagog respects your choice but the best interest of our Learners is our top most priority. In case of odd circumstances wherein an institution fails to fulfil their obligations towards the students enrolled in their courses, it is the institution which will be held responsible for any losses incurred by the students and thus liable for compensation.

Billing

Pedagog will generate the payment monthly as per the terms/revenue share agreed upon by the parties. All payments shall be made to your account provided to us to receive payments in United States Dollars (unless stated otherwise).

Taxes

Institutions are responsible for the payment of their business, income and/or employment related taxes. Pedagog is not bound to any Tax related matters with regards to income generated by the institutions through our services.

Trust & Safety Policies:

You agree to abide by Pedagog's Terms and Conditions (for Institutions), and other content quality standards or policies which shall be prescribed by Pedagog from time to time and shall be updated/posted on the platform. We reserve the right to remove content, suspend payouts, and/or ban institutions and their instructors for the following reasons: • When the content falls below our quality standards or has a negative impact on the student experience; • When an instructor from your institution engages in behavior that might reflect unfavorably on Pedagog or bring Pedagog into public disrepute, contempt, scandal, or ridicule; • When an institution engages the services of a marketer or other business partner who violates Pedagog’s policies; • as determined by Pedagog in its sole discretion.
